Basically you OEM is designed for hardware resellers.  It comes with essentially the CD, the key code, and the COA.  No support, no manuals.  IT IS DESIGNED TO BE A NEW, FIRST TIME INSTALLATION.  IT WILL NOT WORK AS AN UPGRADE. That's why it's cheaper.

I don't know what the differences in the service packs are.  Contact Microsoft at 888-726-9400.  I noticed that a Windows XP update was sent out last thursday, perhaps it was the same thing as that update.
