There is a catch, if you're microsoft! Losing the revenue they make on their retail box which is essentially the same software!

But there is a difference when you install.

OEM software must be installed for the first time on a hard-drive, as it is sold and made as Original Equipment Manufacturer software. It is not made to install over another operating system. So you will need to erase the harddrive, or use a new one to install this version of XP.

Also ther's no printed manual, but XP doesnt need one as its system tools and help are essentially its manual. Plus, theres an electronic version on the disk somewhere.
